Terms and Conditions — WhatsRay

1. Acceptance of Terms

By accessing or using WhatsRay (“Service”, “Platform”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree, you must not use the Service.


2. Description of Service

WhatsRay is a customer communication platform that enables businesses to manage conversations, send messages, automate workflows, and interact with customers through the WhatsApp Business Platform provided by Meta Platforms, Inc. (“Meta”).

WhatsRay is an independent software provider and is not owned or operated by WhatsApp or Meta.


3. Meta & WhatsApp Policy Compliance

By using WhatsRay, you agree to comply with:

  • WhatsApp Business Terms of Service

  • WhatsApp Business Messaging Policy

  • Meta Commerce Policy (if applicable)

  • Any other policies issued by Meta

Failure to comply may result in suspension or termination of your WhatsApp number or account. WhatsRay is not responsible for enforcement actions taken by Meta.


4. Customer Consent (Opt-In Requirement)

You must obtain proper consent from users before sending them WhatsApp messages.

You agree that:

  • You will not send unsolicited or spam messages

  • You will maintain records of customer opt-in

  • You will honor opt-out requests immediately

  • You are solely responsible for message content

WhatsRay is not liable for violations of consent requirements.


5. Account Registration & Security

To use the Service, you must create an account and provide accurate information.

You are responsible for:

  • Maintaining the confidentiality of your login credentials

  • All activities conducted under your account

  • Notifying us immediately of unauthorized use

We reserve the right to suspend accounts suspected of misuse or security risks.


6. WhatsApp Number Connection

You may only connect phone numbers that:

  • Belong to your business

  • Are authorized by a verified Meta Business Manager (if required)

  • Are not connected to another WhatsApp Business Platform provider

Migrating an existing WhatsApp Business App number will move it to the WhatsApp Business Platform.


7. Messaging Rules & Charges
7.1 Free Service Window

Messages sent in response to a user within 24 hours of their last message may fall within a customer service window.


7.2 Business-Initiated Messages

Messages sent outside this window require pre-approved templates and may incur charges.


7.3 Meta Conversation Fees

Meta charges conversation-based fees depending on:

  • Message category

  • Destination country

  • Pricing changes by Meta

You agree to pay all applicable messaging fees.

WhatsRay may pass these costs to you.


8. Subscription & Payments

Certain features of WhatsRay require a paid subscription.

By subscribing, you agree:

  • To pay all applicable fees

  • That pricing may change with notice

  • That failure to pay may result in service suspension

All payments are non-refundable unless required by law.


9. Third-Party Dependency Disclaimer

WhatsRay relies on services provided by Meta and other third parties.

We are not responsible for:

  • Service outages caused by Meta

  • API changes

  • Feature limitations

  • Number bans or restrictions

  • Delivery failures outside our control


10. Prohibited Use

You may not use WhatsRay to:

  • Send spam or unsolicited messages

  • Promote illegal activities

  • Distribute malware or harmful content

  • Send abusive, hateful, or discriminatory content

  • Violate intellectual property rights

  • Engage in fraud or deception

We reserve the right to suspend or terminate accounts violating these rules.


11. Data Responsibility & Privacy

You retain ownership of your customer data.

You are responsible for ensuring compliance with:

  • Data protection laws

  • Privacy regulations

  • Customer consent requirements

WhatsRay processes data solely to provide the Service.

12. Intellectual Property

All rights to the WhatsRay platform, software, and materials remain our property.

You may not:

  • Copy or resell the platform

  • Reverse engineer the software

  • Create derivative works

  • Remove proprietary notices


13. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted availability.

Maintenance, updates, or external factors may cause downtime.


14. Suspension & Termination

We may suspend or terminate your account if:

  • You violate these Terms

  • You breach Meta policies

  • Payment is not received

  • Your activities pose legal or security risks

Meta may independently suspend your WhatsApp number.


15. No Warranty

The Service is provided “as is” without warranties of any kind.

We do not guarantee:

  • Message delivery

  • Sales results

  • Compatibility with all devices

  • Continuous availability


16. Limitation of Liability

To the maximum extent permitted by law, WhatsRay shall not be liable for:

  • Loss of profits or revenue

  • Data loss

  • Business interruption

  • Indirect or consequential damages

  • Actions taken by Meta


17. Indemnification

You agree to indemnify and hold WhatsRay harmless from any claims arising from:

  • Your misuse of the Service

  • Your violation of laws or policies

  • Content you send to customers

  • Failure to obtain consent


18. Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of the revised Terms.


19. Governing Law

These Terms shall be governed by the laws of Sri Lanka
